DEFINITIONS

The terms used in these Terms and Conditions of Use have the following meanings:

"www.747Casino.com" and "747Casino" means the online business of Cytech Ltd, a company licensed by the Kahnawake Gaming Commission to conduct interactive gaming;

"Eligible Player" means a natural person who is a resident of a jurisdiction where participation in the Games is legal and who has achieved both 18 years of age and legal majority in their residential jurisdiction;

"Games" means the activities and games offered at 747Casino;

"Identifying Instrument" means a Credit Card in the name of the registering Player and associated with the residential address registered by the Player, or another form of document or other thing that identifies the Player to the sole satisfaction of the Company;

"Ineligible Games" means Baccarat, Craps, Roulette and Sic-Bo and any other game specified in the conditions of a specific bonus or promotion.

"Major Win" means a cash-in request of by a player greater than USD $5,000.00 resulting from a wagering session or sessions;

"No Risk Wager" means a wager made by a player that has no risk either separately or when offset against another wager or set of wagers made by the Player, or the Player colluding with another Player or person.

"the Company" means Cytech Ltd;

"Wagering Condition" means constraints placed upon amounts credited to a Players 747Casino account, or Player Points Club or Frequent Flyer Account, by the Company;

I. ELIGIBILITY:

1. PARTICIPATION IN THE GAMES OF 747CASINO IS OFFERED ONLY TO ELIGIBLE PLAYERS.
2. PARTICIPATION IN THE ACTIVITIES AND GAMES OF THE 747CASINO IS VOID WHEREVER PROHIBITED BY LAW.
3. MINORS MAY NOT WAGER ON THE GAMES UNDER ANY CIRCUMSTANCE
4. PLAYER ACKNOWLEDGES AND WARRANTS THAT WAGERING ON GAMES IS, FOR THE PLAYER, ENTERTAINMENT ONLY.  PLAYER HEREBY AGREES AND COVENANTS THAT ANY OTHER FORM OF PLAY, BY THEM, IS INVALID, AT THEIR OWN RISK, VOID AND UNRECOVERABLE.
5. PLAYER MAY PLAY THE GAMES WITHOUT WAGERING AND IS INVITED TO DO SO.
6. EMPLOYEES OF THE COMPANY, ITS LICENSEES, DISTRIBUTORS, WHOLESALERS, SUBSIDIARIES, ADVERTISING, PROMOTION OR OTHER AGENCIES, MEDIA PARTNERS, RETAILERS AND MEMBERS OF THE IMMEDIATE FAMILIES OF EACH ARE NOT ELIGIBLY TO PARTICIPATE IN THE GAMES.
7. WHERE A BONUS OR PROMOTION REQUIRES A PLAYER TO MAKE A PURCHASE OR DEPOSIT, A REVERSAL OF A PREVIOUS CASH-OUT REQUEST MAY NOT SATISFY, AT THE SOLE DISCRETION OF THE COMPANY, SUCH A REQUIREMENT.
8. THE COMPANY RESERVES THE UNILATERAL RIGHT TO DENY THE ELIGIBILITY TO PARTICIPATE OR TO CONTINUE TO PARTICIPATE IN THE GAMES BY A PLAYER AT ANYTIME FOR ANY REASON AND WITHOUT NOTICE.

II. BONUSES:

1. Bonuses include all Special, Signup and any other Promotional Bonuses.
2. Except as specified herein, or in the specific rules of a promotion, a general Wagering Condition applies to all Bonuses in that the sum of (1) Bonus Amounts credited to a Player's 747Casino account, or Frequent Flyer Account, and, where applicable, (2) corresponding purchases by the Player, must be wagered at least twenty (20) times before the Player may request a cash-in of any amount from their 747Casino account.
   1. In order to cash in the bonus, you need to cash in a total amount greater than the sum of the purchase and the bonus. This means that you will only be able to cash in the bonus (or part thereof) if you make a profit on the bonus. If your profit is less than the amount of the bonus, this amount will be credited back to your casino account for you to play with. If you lose more than the amount of the bonus no restrictions will be imposed on your cash-in, other than the wager requirements noted above. For example, if you purchase US$100 and receive a bonus of US$100, then a cash-in of US$190 will result in US$90 being returned to your casino account, and you will only be able to cash-in again once your balance exceeds US$100 (being the amount of the bonus received).
3. All Wagering Conditions must be met within 7 days of the bonus being paid or the bonus may be subject to deduction from the Player's account without notice.
4. Right and title in any Bonus Amounts credited to a Players account by the Company remains with the Company until the Player meets all Wagering Conditions specified for the Bonus or Promotion, whereupon which right and title to Bonus Amounts transfers to the Player. Wagering Conditions are cumulative for multiple Promotions and Bonuses claimed or awarded concurrently by or to Player.
5. No Risk Wagers do not fulfil Player obligations with regards to Wagering Conditions, and render Player ineligible to the Bonus Amount.  Using any Bonus Amount to wager on Ineligible Games does not fulfil Wagering Conditions.  Any Bonus Amount wagered on Ineligible Games is void as is any play and winnings. After claiming a Bonus or Promotion, play on Ineligible Games prior to Wagering Conditions being met, may be void which decision shall be at the sole discretion of the company
6. Except for Major Wins, winnings will only be paid to a valid 747Casino Player Account.  The Company, at its sole discretion, determines the value of a Major Win.  Major Wins will be paid to the Player by a method agreed with the Player at the time and commensurate with the amount of the Major Win.  The Company guarantees to pay to Player Major Wins in a timely manner.
7. Unless otherwise specified in the Specific Conditions for a Promotion or Bonus, Promotions and Bonuses are available only once per Player.
8. The Company Promotions Department is the sole judge of the outcomes of promotions and no further correspondence will be entered into. The Company reserves the right, exercisable in its unfettered and sole discretion, to suspend, alter, discontinue or cancel any one or all Bonuses or Promotions at any time for any reason whatsoever and without notice.
9. The Company reserves an unfettered right to suspend or declare void any bonus at any time and for any reasons at its sole discretion and without notice.
10. For the avoidance of doubt, when Player wagers with an account balance comprising both deposits of Player and bonuses, giveaways, promotional or ex-gratia deposits made by the Company, the Player's money is wagered first and the Company's wagered last.
11. Player agrees to abide by the rules, notices and instructions of the Company in relation to wagering with bonus amounts deposited by the Company into the players account.
12. This offer, Agreement and Player membership is not transferable.
13. By registering or claiming a bonus or submitting an entry into a promotion you, the Player, agree to the Terms and Conditions of this agreement just as if you had signed this agreement. If you do not agree to the terms and conditions of this Agreement you should immediately discontinue your participation.  Player fully understands, agrees to, becomes a party to and shall abide by all rules, regulations, terms and conditions contained herein and as such rules, regulations, terms and conditions may change from time-to-time.
14. Danish, Chinese and Israeli Players are not eligible to claim any Bonus not requiring a purchase. Wagering requirements for all Players from Denmark, China or Israel are double that for Players from other jurisdictions unless otherwise specified in any promotion or other advice to Players.
15. Except as determined by the Company, no player shall be paid more than USD $5,000.00 in any 7 day period.
16. Payments due to players of greater than USD $5,000 shall be paid over multiple weeks, and again no single payment shall be greater than USD $5,000.00.

III. PLAYER AGREES AND BECOMES A PARTY TO THE RULES:

1. By entering the Web site, opening an account at the Web site ("Registering"), wagering at the Casino, use and reuse of such an account, participation in the Games, or acceptance of any Prize or Winnings, Player hereby represents, warrants and certifies all of the following:
2. Player can only have one (1) real account and must register only his/her own natural and usual details (Email address, credit cards etc).
3. Player shall not allow any other person or third party including, without limitation, any minor, to use or reuse Player's account, access and/or use any materials or information from the Web site, accept any Prize or Winnings, or participate in the Games using the Players account.
4. Player does not find the Game or the Web site to be offensive, objectionable, unfair, nor indecent.
5. Player holds the Company, its employees, officers, directors, licensees, distributors, wholesalers, affiliates, subsidiaries, advertising, promotion or other agencies, media partners, agents and retailers harmless and fully indemnifies the same from any and all costs, expenses, liabilities and damages whatsoever that may arise as a result of Player's; (i) entry, use, or reuse of the Web site, (ii) use of any materials at the Web site, (iii) entry, use, or reuse of the 747Casino, (iv) participation in the Game, or, (v) the acceptance of any Prize, or any related activity.
6. Player acknowledges that the terms 747Casino and Cytech Limited are the property of the Company and Player obtains no rights to such terms, nor any other terms, graphics, text, concepts or methodologies, by using the Web site and the Game and the material contained therein.
7. This Agreement shall be terminated automatically and without notice when the Company suspects a Player to be using the site for any other purpose than as permitted under these General Terms and Conditions. This includes, but is not limited to, Players suspected by the Company of playing professionally, or using systems, tools methods or techniques designed to put the Company at a disadvantage greater than the rules of the Game and as played by a natural person of average playing ability.
8. Player shall periodically review at a rate not less than once monthly these Terms and Conditions of the Company posted at the 747Casino Web site.
9. The Player agrees the minimum amount which they can request to be cashed in is USD $50.00. Any amount requested less than USD $50.00 will be returned to the Player's account.
10. Player shall not participate in the Games, Register, open, establish, join, use or reuse an account, enter the Web site, or the Casino, nor accept any Prize or Winning if Player does not fully understand, agree to, become a party to, and shall abide by, without exception, all rules, regulations, terms and conditions contained herein and as such rules, regulations, terms and conditions may change from time to time.
11. These General Terms and Conditions may be amended or altered by the Company at any time and without notice to the Player.

IV. OTHER CONDITIONS:

1. Player is not required to participate in the Game and such participation, if elected by Player, is at Player's sole option, discretion and risk.
2. Materials of the Game (whether electronically obtained or obtained by other means) are automatically void if counterfeited, mutilated, forged, altered or tampered with in any way, if illegible, mechanically or electronically reproduced, obtained outside authorized legitimate channels or if they contain printing, production, typographical, mechanical, electronic or any other errors.
3. Any and all materials submitted for prize claims become the property of the Company and will not be returned.
4. The Company is not responsible for lost, late, illegible, incomplete, damaged, mutilated, misdirected, or postage due mail, requests, Prize claims or entries. Liability for materials of the Game containing any error is limited to replacement.
5. Taxes, if any, on any Prize or Winning is Player's sole responsibility.
6. If Player does not participate in a Game of the Company for a period of 180 days the Player Account will be deemed dormant. Please refer to paragraph 14 below for details on the management of dormant accounts.
7. By accepting prize and/or winnings, Player consents to use his/her name for advertising and promotional purposes without additional compensation except where prohibited by law.
8. Player, by acceptance of any Bonus Amount, Prize or Winning acknowledges agreement with and compliance to all rules herein.
9. The Company makes no representations or warranties, implicit or explicit, as to the legal right for Player to participate in the Game nor shall any of the Company's employees, licensees, distributors, wholesalers, affiliates, subsidiaries, advertising, promotion or other agencies, media partners, agents or retailers have the authority to make any such representations or warranties.
10. The Company shall not be required to maintain user names or passwords and if Player misplaces, forgets, loses, or is otherwise unable to enter 747Casino because of anything other than Company error, if a Player should give away, tell, share or lose their Account Number and Password, Cytech Limited will not be responsible and will not be held liable for any claims regarding that account.
11. The Company shall not be liable for computer malfunctions nor attempts by Player to participate in the Game by methods, means or ways not intended by the Company.
12. The terms and conditions contained herein represents the complete, final and exclusive agreement between the Player and the Company and supersedes and merges all prior agreements, representations and understandings between the Player and the Company.
13. The Company will immediately take the following actions after declaring a Player Account dormant:



1. Advise the Player, to the registered email address of the player, that:

1. The Player Account is dormant and thus locked from further use; and
2. Unless the Player contacts the Company within two working days that any money held in the Player's account will be removed at midnight GMT on the 2nd day after such notice has been despatched, and the Player account will be locked from further use; and
3. Any such moneys removed from Players Accounts will be held in trust for the Player until midnight GMT on the last day of the month following the month in which the dormant Account Notice was sent to the Player; and
4. Any such moneys held in trust as referred to in paragraph 14.a.iii above and not claimed by Players will be forfeited to the Company at the expiration of the period described in paragraph 14.a.iii.


2. The Company will take the actions described in paragraph 14 above unless circumvented by the Player taking the necessary actions of participating in the Game again or closing their account.


14. Conditions for depositing money into and withdrawing money from a Player Account described elsewhere in the website of the Company form part of these General Terms and Conditions.
15. Conditions for participation in any Game, Bonus Scheme, Competition and/or Promotion as published from time to time by the Company form part of these General Terms and Conditions.
16. The End User Licence Agreement provided with software made available by the Company to the Player also forms part of these General Terms and Conditions.
17. The Company may withdraw, cease to offer, or exclude any Player from the Game, or any part of a Game, for any period without notice to Player. This right extends to the Web site of the Company and any of its parts or components.
18. All purchases by Players are in the currency of the United States of America regardless of the currency of purchase by the Player. Any conversion will be completed at the then exchange rate of the bankers of the Company.

V. TERMINATION:

1. This Agreement may be terminated under the following conditions:



1. By the Company at any time, for any reason without notice to the Player; and
2. By the Player at any time by cancelling their Player Account with the Company and ceasing to participate any further in a Game.


2. If this Agreement is terminated by the Company for the breach of any provision of this Agreement by the Player the Company will (except as provided for herein):



1. Immediately return to the Player any purchases not wagered; and
2. Seize any other amounts in the Account of the Player in excess of the deposits not wagered; and
3. Notify relevant industry entities and groups of the Players details and the reasons for the Termination of this Agreement with the Player by the Company.

VII. LIMITATION OF LIABILITY AND DISCLAIMER:

1. IN NO EVENT WILL THE COMPANY, ITS DIRECTORS, EMPLOYEES, AGENTS OR ANY OF ITS AFFILIATES BE LIABLE TO YOU (IN CONTRACT, TORT OR OTHERWISE) FOR ANY LOSS OR DAMAGE WHATSOEVER OR HOWSOEVER CAUSED ARISING DIRECTLY OR INDIRECTLY IN CONNECTION WITH THE GAME, THE WEBSITE, ANY WINNINGS, PRIZES OR BONUSES CONSEQUENT TO YOU WAGERING OR ENTERING ANY COMPETITION OF THE COMPANY EXCEPT TO THE EXTENT THAT SUCH LIABILITY MAY NOT BE LAWFULLY EXCLUDED UNDER ANY APPLICABLE LAW, EVEN IF COMPANY, ITS DIRECTORS, EMPLOYEES, AGENTS OR AFFILIATES HAD BEEN ADVISED OF THE POSSIBILITY OF SUCH LOSS OR DAMAGE. If any exclusion or limitation of liability in this licence is held to be invalid for any reason and the Company or any of its licensors becomes liable for loss or damage that may lawfully be limited, such liability shall be limited to the sum of money wagered by you with the Company in the previous 12 months prior to loss or damage being incurred. If and to the extent that any relevant state or applicable jurisdiction does not allow the exclusion or limitation of liability or warranties as provided in this licence, such exclusion or limitation shall not apply to you.
2. Through the use of the name 747Casino for its website and casino the Company denies any affiliation with, endorsement of or by, or any relationship of any kind with the Boeing Company, its Directors, employees, agents, services or products.

VII. DISPUTES:

1. If you have a complaint or dispute ("Complaint") in relation to the Game, the Company or a decision of the Company you must submit your Complaint to the Company within 14 days of you first becoming aware of the existence of the Complaint.
